The Process of CEO Dismissal: An Exploratory study

2018

The decision to change the CEO is one of the most important decisions of the Board of Directors in a company. This study increases understanding of the process that leads to a Board’s decision to dismiss the CEO under conditions of poor performance, and of the meaning of attributions in CEO dismissal. The role of the Chair of the Board in this process is also explored. An exploratory, empirical study concerning nine CEO dismissal processes is conducted based on open-ended interviews with seven Chairpersons of the Board. The findings shed light on the issues that impact the relationship between poor company performance and CEO dismissal. In particular, the results increase understanding of t…

Corporate entrepreneurship and governance: Mergers and acquisitions in Europe

2022

Mergers and acquisitions (M&A) are a form of corporate entrepreneurship involving strategic decisions that require discussion and approval by the board of directors of the acquiring firm. We focus on board attributes to analyze the entrepreneurial function of the board of directors and its involvement in corporate entrepreneurship. Building on different theories (agency theory, resource dependence theory, stewardship theory, and stakeholder theory), we examine whether board composition affects the number of acquisitions, the risk involved in bids, and the creation of value for the acquirer's shareholders. For a sample of European firms over the period 2002 to 2020, we find that board size a…

The study develops measures of busyness in the light of the agency and resource dependence theories. The spline regression technique is applied in order to reflect institutional settings of a large sample and sub…

Social Determinants of Success: Social Media, Corporate Governance and Revenue

2019

This study examined how social media (Twitter and LinkedIn) relates to the operating revenue by investigating the effect of the use of social media by the board of directors. To tackle this question, we analyzed the mediating and moderating relationship of social media on the effect of board size in operating revenue (turnover). We studied the implications of the use of social media by the board members by using structural equation modeling (SEM). The data consisted of a random sample of 100 companies listed on the NASDAQ. The study makes two main contributions. First, it shows interesting differences in the use of social media for the operating revenue. Our results suggest that while Twitt…
