On Monday 4 May 2015, the speaker of Parliament of the Republic of Moldova published the Kroll report on his Internet blog after thousands of people rallied on Sunday 3 May in the capital, Chisinau, to protest against endemic corruption in the country, and demand recovery of the missing billions in the Ilan Shor group scandal. The Kroll report aims at investigating the apparent theft of nearly one-fifth of the country's annual GDP. The present thesis investigates the nature of relationship between the employee stock ownership and the wealth creation, in the framework of the shareholder governance and the stakeholder governance. Results indicate a non linear relation between both the employee stock ownership and the shareholder value creation taking an inversed-U form. In fact, a positive relation associates these variables for low levels of employee stock ownership. Starting from a level of 3%, the relation became negative. The Heisenberg picture in the analysis of stock markets and in other sociological contexts

We review some recent results concerning some toy models of stock markets. Our models are suggested by the discrete nature of the number of shares and of the cash which are exchanged in a real market, and by the existence of conserved quantities, like the total number of shares or some linear combination of the cash and the shares. This suggests to use the same tools used in quantum mechanics and, in particular, the Heisenberg picture to describe the time behavior of the portfolio of each trader. We finally propose the use of this same framework in other sociological contexts.

Sustainability in executive remuneration : A missing link towards more sustainable firms?

This paper contributes by showing simultaneously the interlinked challenges of sustainability-based (based on long-term economic, social and environmental targets) executive remuneration and the problems of transparency in remuneration reporting. Our empirical data, analyzed using qualitative content analysis, consists of the published remuneration statements and sustainability reports of 43 Finnish companies reporting according to the Global Reporting Initiative (GRI) framework. Exporting Corporate Governance: Do Foreign and Local Proxy Advisors Differ?

Prior research documents that the large US-based proxy advisors, Institutional Shareholder Services (ISS) and Glass Lewis (GL), play an important role as information intermediaries in corporate governance worldwide. We provide initial evidence on the role of local proxy advisors, using the German setting. We analyse voting recommendations by local (IVOX) and foreign (ISS, GL) proxy advisors. First, we find that IVOX’s voting recommendations differ substantially from those of ISS and GL. Due to the short length of the article and the large scale of the issue, this study is limited to the presentation of basic concepts.
