International audience; Cet article dresse un bilan des travaux existants portant sur le rôle des sociétés de capital-risque dans la formation d’alliances stratégiques. Ils sont présentés en distinguant les points de vue des sociétés de capital- risque et des entreprises formant l’alliance, et, agencés en fonction des deux cadres théoriques qu’ils emploient : les théories contractuelles et cognitives. Au-delà, les limites de ces travaux sont mises en avant et des prolongations possibles sont présentées.

The research of my thesis has been focused on the 1935 diplomatic conference at Stresa, in Northern Italy and observe how this meeting between the representatives of the United Kingdom, France and Italy shaped the diplomatic relations in interwar Europe. The goal of this meeting was to formulate a common policy against Germany in reaction to the founding of the German air force. This action, which reneged on the 1919 treaty of Versailles caused great worry in Europe. Notre objectif est d’expliquer le choix des firmes multinationales entre les alliances avec prise de participation et les alliances sans prise de participation pour investir en R&D à l’étranger. While many studies exist regarding the firm choice to make vs. buy, there has been little study about the choice between make, buy or ally. In this paper we investigate how firms choose among make, buy or make together when they have to organize a particular transaction. In particular we develop theory-based hypothesis that link the theoretical determinants of firm’s boundaries to the governance choice. In order to test such hypothesis we operationalize the main constructs in measurable variables and we collect information for that.
