This paper analyses a famous excerpt from the roman jurist Paulus on the barter (Paul. 32 ad ed. D.19.4.1.4). According to the scholars this passage lists (even if confusedly) the available procedural remedies against the defaulting party, given the institution of a valid contract: action in id quod interest, aimed at obtaining a specific performance, and the condictio quasi re non secuta, for the recovery of what has already been given. However, this reconstruction does not consider the connection (igitur) with the previous § 3, in which it is affirmed that barter is void when a party delivers a third party property. Kontrakty stanowią jedną z form pionowej koordynacji transakcji w agrobiznesie. Kluczowym aspektem umów jest odpowiednie motywowanie stron do właściwego działania oraz optymalny wybór kontrahentów. Może to się odbywać poprzez ustanowienie odpowiedniej formuły cenowej. Koncepcją teoretyczną umożliwiającą badanie tych problemów jest model pryncypał–agent w ramach teorii agencji. Expectation Damages and Bilateral Cooperative Investments

We examine the efficiency of the standard breach remedy expectation damages in a setting where the buyer invests cooperatively and the seller invests both cooperatively and selfishly. Contracts may specify a required quality level and an upper bound to the seller's coordination costs. We find that it is optimal to write an augmented Cadillac contract in which quality is stipulated such that it cannot be met with positive probability together with a very low price. Thus, the seller becomes a residual claimant and the coordination-cost threshold can be used to balance the incentives of the buyer.

Celem artykułu jest identyfikacja form pionowej koordynacji transakcji między grupami producentów rolnych działających na rynku ziemniaka a ich pierwszymi odbiorcami. Przedmiotem badań były kontrakty podpisane przez grupy w 2014 roku. Dla realizacji wyznaczonego celu zastosowano metodę studium przypadku. Wykorzystanym narzędziem był wspomagany komputerowo wywiad telefoniczny, którego podstawę stanowił kwestionariusz ankiety. Badanie przeprowadzono w okresie od marca do maja 2015 roku. W badaniu wzięło udział 8 grup producentów (około 35% zbiorowości całkowitej). W 2014 roku całość sprzedaży była realizowana w ramach kontraktów, a głównym odbiorcą były zakłady przetwórcze.
