Il contributo descrive le ragioni per le quali il tradizionale strumentario penalistico sia inadeguato per il contrasto dello sfruttamento del lavoro, che si atteggia piuttosto come fenomeno sistemico e - il più delle volte - è espressione di precise politiche di impresa. In quest'ottica, l'esperienza applicativa mostra come risultati più appaganti possano invece giungere dall'impiego degli strumenti della prevenzione patrimoniale.

The article is a synthetic essay that exposes the main theoretical lines of the postmarxist approach of Laclau and Mouffe, on the one hand, and the autonomist post-operaism of Negri, Hardt, Virno, etc., on the other hand. These theories are conceived as attempts to rationalize current political bets by various political sectors and social movements. It analyzes both argumentative strategies from «orthodox» Marxism and the structure / superstructure relationship; and the forms of constitution of new subjectivities. La presse en tant que mécanisme de gouvernance disciplinaire

Fraud is a cause of substantial costs for firms. Fraud disclosure by the press would hence improve firms’ rates of return. I study to what extent the French press acts as a watchdog-type mechanism of governance and what the determinants of this mechanism are. To address these issues, I investigate the efficacy of the French press in detecting fraud committed by firms before an official verdict by the courts. I observe that the French press can play an important role as a watchdog, but this role de- pends on its search for maximizing profits. Thus, the press selects the firms and the frauds on which it publishes articles.

Corporate board and default risk of financial firms

This paper analyses the impact of corporate board structure on default risk of European banking firms. We focus on four core aspects of boards that have been addressed in Directive 2013/36/ EU to strengthen the corporate governance of banks: the size of boards, their independence, the participation of female directors and CEO duality. We employ panel data analysis to study the 109 European listed banks between 2002 and 2019. Default risk is estimated by Merton’s (1974) distance to default. With the conceptual framework of control levers of Simons (1995), this article shows how to coordinate diagnostic and interactive uses of the same "management control system" (in this case a system of environmental indicators) for the deployment and the emergence of new strategies. In contrast to the literature, we propose an articulation "in parallel" of levers of control as alternative to sliding levers of control. These results are obtained from a case study in a French wine and spirits subject to large strategic environmental uncertainties.
