Franchisors' disclosure duty: market transparency and franchisee protection

The franchisee is usually the most vulnerable part of the franchise relationship, and should therefore receive greater protection from the legal framework. In this regard, the franchisor's pre-contractual disclosure duty has evolved in its legal status. Whereas its original purpose was to ensure transparency in the market, it now serves to protect the franchisee. In this paper, we compare the franchisor's obligations established by the legal framework in Spain with those set out in the Model Law drawn up by The International Institute for the Unification of Private Law.

The choice of master international franchising – A modified transaction cost model

Abstract This study develops and tests a novel transaction cost model of master international franchising. Based on data from international franchise firms headquartered in six countries, we show that master international franchising is the franchisor’s preferred governance mode under the following conditions: large bilateral franchisor’s and franchisees’ transaction-specific investments, high institutional uncertainty and high behavioral uncertainty. Purpose The purpose of this paper is to investigate the impact of participative franchising on performance from the franchisee perspective. In particular, the paper analyses the impact of the franchisee autonomy – in human resource management and marketing decisions – affective commitment to the network and network innovativeness on the franchisee relative performance. Franchisor practices for optimal omnichannel deployment in franchising networks

International audience; This research contributes to theory by extending the knowledge on power in franchise relationships to the case of omnichannel marketing. As the relative autonomy of franchisees can be an obstacle to optimal omnichannel integration, the research uncovers three broad forms of franchisor practices to align franchisees to the omnichannel strategy, rooted in an enforcing, a collaborative, and an empowering stance.

Tutkimuksen tavoitteena oli analysoida yrittäjän vapautta hoivan tuottamisessa yhteiskuntafilosofisesta näkökulmasta. Tutkimuksen käsitteellinen konteksti rakentui hoivasta yrittäjyyden toimialana, jossa hoivaa jäsennettiin palveluna ja markkinaistuneena tuotteena. Tutkimuksen teoreettiset käsitteet muodostuivat Hegelin oikeusfilosofiaan perustuvista praktisen vapauden ulottuvuuksista, joita täydennettiin Berlinin negatiivisen ja positiivisen vapauden käsitteillä. Tutkimusaineisto muodostui viidentoista yrittäjän haastatteluista (N=15).
