International audience; Notre étude s'intéresse à l'impact de l'actionnariat des dirigeants sur la stratégie de diversification des entreprises françaises. Nous analysons l'incidence de la participation au capital du dirigeant sur cette stratégie. Un certain nombre de variables de contrôle sont introduites puisqu'elles peuvent entraver la capacité des dirigeants à diversifier. Nous testons notre hypothèse relative à l'existence de différences dans le degré de diversification selon la structure de l'actionnariat du dirigeant, sur un échantillon de 266 sociétés françaises cotées à la Bourse de Paris.

La politique de dividende permet-elle de discipliner les dirigeants?

Depuis près de 25 ans, la théorie de l’agence (Easterbrook, 1984 ; Jensen, 1986) postule que les actionnaires demandent des dividendes pour discipliner les dirigeants. Une analyse approfondie de la littérature montre cependant que la politique de dividende ne constitue pas un mécanisme efficace de gouvernance, pour au moins trois raisons : les attentes des divers groupes d’actionnaires sont variées en matière de versement de dividendes ; les entreprises concernées présentent des caractéristiques spécifiques ; la gouvernance des entreprises est de « faible » qualité du point de vue des actionnaires minoritaires.

On peut les représenter comme une série de cercles concentriques autour d'un noyau de dirigeants et de permanents d'appareil. Alors que le nombre des adhérents a fortement baissé, sauf chez les retraités, celui des élus et mandatés a plutôt augmenté. Les ouvriers qualifiés et les techniciens des grandes entreprises et des administrations publiques dominent. Il s'agit d'un univers assez clos, très masculin, assez âgé et relativement bien doté en capital culturel.

Abstract The presence of a pheromonotropically active hormone (PBAN-like substance) from locust organs, ( Locusta migratoria ) has been demonstrated. Extracts of brain, corpora cardiaca, corpora allata, suboesophageal ganglia and thoracic ganglia of L. migratoria caused highly pheromonotropic responses in decapitated females of the European corn borer moth ( Ostrinia nubilalis ).
