On the role of internationalization of firm-level corporate governance: The case of audit committees

2022

Research Question/IssueMotivated by the agency theory and the findings of linguistic studies, we analyze the association between the internationalization of a firm's audit committee and its corporate governance.Research Findings/InsightsBased on data from 2159 publicly traded European firms from 15 countries for the period 2000–2018, we find that firms with foreign directors on their audit committees are associated with lower financial reporting quality. The association is mitigated by stronger country-level investor protection and a higher similarity among intra-committee languages. We further find that foreign directors on the audit committee are related to stock prices being less informa…

Integration Through Participation Introductory Notes to the Study of Administrative Integration

2002

When aiming at studying the interconnectedness of administrative systems - and in particular the integration of domestic governance systems and the institutions of the European Union - at least two variables are important to address: (i) the intensity and frequency of cross-level interaction and participation amongst the members of these systems, and (ii) the principles of organization being uppermost at both levels of governance. This article argues that in order to measure administrative integration, particular emphasis should be attached to the way these variables impact upon the organization members individually. Put more precisely, I argue that studies of administrative integration sho…

Le recours au dialogue avec les parties prenantes dans l'exercice de la responsabilité sociale des entreprises (RSE) : proposition d'une typologie

2021

Since Freeman's work (1984), dialogue with stakeholders has become a central theme in the field of Corporate Social Responsibility (CSR) (Bonnafous-Boucher & Pesqueux 2006; Brown & Dillard 2015; Brown et al. 2020).This dialogue is strongly encouraged by international standards (ISO 26000, GRI, IIRC, AA1000SES, OCDE Principles), which describe it as a tool to inform the decisions of organizations and to allow stakeholders to make their views heard. While the concept of dialogue is omnipresent in the literature, the use of dialogue as a management device is little questioned and documented in scientific studies. How is the dialogue organized by companies? What are the roles of stakeholders? In…

Structural Dynamics and Intentional Governance in Strategic Interfirm Network Evolution

2015

This paper aims to shed light on the drivers underlying the role and scope of intentional governance of the structural dynamics of whole interfirm networks. Prior research has distinguished networks that are emergent from networks that are orchestrated. While empirical studies have shown situations in which the role and scope of intentional governance of whole interfirm networks has changed in time, and there is a growing interest regards the endogenous drivers of network dynamics, the dimensions that influence intentional governance of network structure dynamics and the way this is carried out remain still to be elucidated. In order to pinpoint these drivers, we leverage the models of netw…

The roles of the state and social licence to operate? Lessons from nuclear waste management in Finland, France, and Sweden

2019

The concept of social licence to operate (SLO) is an increasingly popular tool for companies to manage their relations with the local communities. SLO is very seldom used in the nuclear sector, which has nevertheless applied similar approaches, under notions such as partnership and participatory governance. This article explores the specific challenges that the application of SLO faces in the nuclear waste management (NWM) sector, by applying an often-used SLO framework of Boutilier and Thomson to illustrative case studies concerning nuclear waste repository projects in Finland, France and Sweden. Among the specificities of this sector, the article focuses on the central roles of the state …

Predicting bond betas using macro-finance variables

2019

We conduct in-sample and out-of-sample forecasting using the new approach of combining explanatory variables through complete subset regressions (CSR). We predict bond CAPM betas and bond returns conditioning on various macro-finance variables. We explore differences across long-term government bonds, investment grade corporate bonds, and high-yield corporate bonds. The CSR method performs well in predicting bond betas, especially in-sample, and, mainly high-yield bond betas when the focus is out-of-sample. Bond returns are less predictable than bond betas.

Facilitators and Inhibitors of Technologies to Tackle Climate Change: Opinions of Government and Private Actors

2012

The purpose of this paper is to analyse the facilitators and inhibitors of investing in environmentally friendly technologies from the Spanish hotel perspective as well as to describe the governance initiatives pertaining to this issue. A description of the actions implemented by different Spanish governance institutions is given. Additionally, a survey is conducted to compile information provided by hotel managers on facilitators and inhibitors regarding investments in environmentally friendly information and communication technology (ICT). The results are compared across hotel categories. National governance bodies focus on providing tourist companies with preferential credits, assuming t…

Corporate Governance in Scandinavia

2008

This article addresses the role of formal institutions and informal networks on corporate governance practices. The existing corporate governance literature has mostly examined the formal institutions, such as the effect of legal systems. Our contribution is to consider the effect of informal “small world” characteristics of ownership and board networks. We use the case of Scandinavia (Denmark, Norway and Sweden) to examine these effects. Our empirical results reveal large differences in formal board and ownership structures between the Scandinavian countries, but strong similarities in terms of law enforcement, political stability, government effectiveness, rule of law, control of corrupti…

Māwardī and Machiavelli : Reflections on Power in their Mirrors for Princes

2018

Abstract Despite their apparently contradictory views on religion’s role in statecraft, and despite being separated by both history and geography, Al-Mawardi and Machiavelli approach the question of political power in an unapologetically direct fashion. This paper interrogates their philosophies and the way in which their highly unstable social settings and their rather more stable religious traditions intersect in two of their key texts, The Ordinances of Government and The Prince, respectively. These texts demonstrate that even early Muslim tradition had a theory of impersonal governance, whereas 500 years later Europeans had by no means given up on narratives of personified power.
