Software source code escrow agreement and legal obstacles of its execution

2020

Software source code escrow agreement is a relatively new occurrence, emerged together with the rise of software industry in 1970’s in the U.S. Taking into account the fact that business relationships between the software licensor and the licensee are mostly permanent, i.e. significant part is not only the license agreement, but also maintenance and support service duties assumed by the licensor, it is important that business continuity of the licensee is ensured. Software source code escrow agreement aims to provide this assurance by promise, that if the licensor ceases to exist (becomes insolvent), then the source code – building instruction of the software, will be turned over to the lic…

Is the Reform of the Spanish Public Pension System of 2011 Justified from an Actuarial Point of View?

2012

The aim of this paper is basically to answer three questions about the Spanish public retirement pension system. Is the 2011 reform of the system, which will gradually come into force starting on 1-01-2013, justified from an actuarial point of view? What measures would have been adopted in the Spanish system if all the accounting principles applied in the notional account pension system in Sweden were enforced? What measures would be adopted if current legislation on defined benefit private pension plans were applied to the system? To this end we formulate a Swedish-type actuarial balance for the Spanish public retirement pension system as at 31-12-2010 and project a solvency indicator for …

Investing in Sports Facilities: The Italian Situation Toward an Olympic Perspective. Confidence Intervals for the Financial Analysis of Pools

2015

Given the current economic crisis, there is a lack of investments also for public sport facilities, which are vital to the urban quality of the city and the quality of life of its citizens. The situation is serious in Italy, especially after the failure of public policies for funding of major events (World Cup, 1990; Winter Olympics, 2006). Some recent laws (147/2013) have revived the sector with particular atten-tion to the medium size facilities but have neglected the small structures that represent the basic activities. In case of the latter, a convergence of objectives is needed between public administrations and private investors. Therefore, public au-thorities should think in terms of…

Private Equity Firms : Their Rôle in the Formation of Strategic Alliances

2018

International audience; This work analyzes the role of private equity firms (SCIs) in forming strategic alliances in the French private equity market. The subject is important because the formation of alliances and, more generally, the networking of SMEs, could be an alternative to the lack of medium-sized companies in France. For French SCIs, which are increasingly in a competitive situation, assistance in forming alliances for their holdings may represent a new activity and be a source of competitive advantage. The work is positioned transversally, touching the areas of corporate governance, entrepreneurial finance and strategy.
