Aim. The aim of this prospective study was to compare outcomes after CEA and CAS in patients with contralateral carotid artery occlusion. Methods. Between 2004 and 2009, 527 consecutive patients underwent CEA (N.=281) or CAS (N.=246) for severe stenosis of internal carotid artery (ICA). Of them, 85 (16.1%) were identified with contralateral carotid artery occlusion. CEA was performed in 31(36.4%) patients with contralateral ICA occlusion, and 15 (48.4%) were symptomatic. The decision to change the CEO is one of the most important decisions of the Board of Directors in a company. This study increases understanding of the process that leads to a Board’s decision to dismiss the CEO under conditions of poor performance, and of the meaning of attributions in CEO dismissal. The role of the Chair of the Board in this process is also explored. An exploratory, empirical study concerning nine CEO dismissal processes is conducted based on open-ended interviews with seven Chairpersons of the Board. This paper analyses the disclosure on the directors’ remuneration, whose primary role in a company, makes their information of particular interest to different stakeholders. The authors’ aim is to investigate the official documents (for 2009) of the 50 most capitalized listed Italian companies, in order to verify the compulsory and/or voluntary disclosure provided about the remuneration paid to their directors. The findings will be summarized in a disclosure index whose correlation with some parameters (selected on the basis of specific research hypothesis) concerning board structure and company size will be assessed.

Mergers and acquisitions (M&A) are a form of corporate entrepreneurship involving strategic decisions that require discussion and approval by the board of directors of the acquiring firm. We focus on board attributes to analyze the entrepreneurial function of the board of directors and its involvement in corporate entrepreneurship.
