Ce cas a pour objectif de sensibiliser les étudiants à la contingence du système de gouvernance, notamment à la taille de l’entreprise, à son statut juridique, et au contexte dans lequel elle agit. Il propose une analyse comparative de deux entreprises françaises du domaine de la cosmétique : Leydi Beauty, une Société par Actions Simplifiée (SAS) et L’Oréal, un grand groupe industriel coté en bourse. Plus particulièrement, sont analysées la répartition de la propriété dans les deux cas ainsi que l’identification des principaux mécanismes de gouvernance en jeu.
