The Role of Fraudulent Transfer Rules in Corporate Insolvency

2008

"The article is based on a lecture given by the author in Paris on the 12. October 2007 in the context of a Symposium devoted to corporate insolvency law. It deals with the role of fraudulent transfer rules in company law. The research is carried out on the field of comparative and European law. It therefore starts from a stipulative definition of [UTF-8?]“fraudulent transfer [UTF-8?]rules†which excludes preferences (even if they belong to the matter, in some legal systems) but includes the regulations aimed at subordinating [UTF-8?]shareholders’ loans. The paper demonstrates that the different [UTF-8?]“fraudulent transfer [UTF-8?]rules†adopted by principal EU Member States conver…

The Role of Entrepreneurial and Networking Orientations in Developing Marketing Capabilities of Born Global Firms

2017

The large multinational enterprises rely on their size and significant resources to develop marketing capabilities. On the other hand, little is known about how resource-constrained born global firms develop necessary marketing capabilities to operate in multiple international markets. This paper attempts to fill this gap conceptually by discussing relationships between entrepreneurial orientation, networking orientation, marketing capabilities, and performance in the context of born global firms. To fulfill this objective, research propositions are presented based on an extensive literature review. Preliminary conclusions and suggestions for further research are also provided.

The United Citizens Organization: Public-private partnerships in global governance

2020

Abstract Can Public-Private Partnerships be applied to global affairs and governance? This paper reviews the existing relations between public and private global actors. I argue that current international politics is largely an outcome of these relations. Although for the foreseeable future the role of traditional nation-states on the global scene should not be dismissed, they come under the constant pressure of different private actors, particularly of MNCs and NGOs. If this is the case, the question of global responsibility must be raised. It has been the traditional role of governments to stand for such societal values as security and prosperity, and be responsible for their citizens. Wi…

The Role of Language in Corporate Governance: The Case of Board Internationalization

2013

Multinational corporations internationalize their corporate boardrooms in order to capitalize on their commercial and financial internationalization. Board internationalization provides access to specialized knowledge and skills, broadens social networks and ensures greater transparency of strategic decision-making. The entry of a foreign board member is often coupled with a change in the working language of the board. The purpose of the present study is to explore and explain how increased language diversity influences decision-making and work processes of corporate boards. We draw on previous research on board internationalization, diversity and language in multinational corporations. Bas…

Prywatność w nowych mediach. Pozyskiwanie danych jako narzędzie realizacji biznesowych celów cyberkorporacji

2016

Reconciling the Evidence on the Knowledge-capital Model

2005

The Knowledge Capital Model (KC-model), described in Markusen (2002), encompasses both market size (horizontal) as well as factor endowment (vertical) explanations to why multinational production occurs. Although the KC-model seems intuitively appealing, the empirical support has, so far, been weak and even confused. In this study, we find strong, robust and consistent support for the KC-model. In contrast to previous studies, our skill measures follow directly from the model. We also use an enlarged dataset, where the data coverage is significantly improved. Our results also give estimated surfaces remarkably similar to theoretical simulations of the KC-model. In addition, the results give…

Do we really know the predictors of competence-creating R&D subsidiaries? Uncovering the mediation of dual network embeddedness

2017

Abstract Many changes have been recorded in the R&D role played by the foreign subsidiaries of multinational corporations (MNCs), to the extent that today many are recognised as key players in the development of firm innovation-related competences. Given this trend, we examine the predictors of a subsidiary's R&D role as a competence-creating contributor to the MNC's long-term success. Traditionally, the predictors of subsidiaries' R&D roles have been sought in the specific features of the internal corporate and external host-country environments. However, we find that favourable corporate- and country-level conditions may not necessarily lead to the enhancement of a subsidiary's R&D role u…

The effect of organizational separation on individuals' knowledge sharing in MNCs

2017

Abstract The ability of an organization to apply knowledge globally has been conceptualized as critical for the existence of multinational corporations (MNCs). We argue for an organizational separation effect on knowledge sharing that challenges the view of the MNC as a latent social community. Using a unique data-set of more than 4000 individual responses from an MNC, Telenor, we test how three types of drivers for individuals’ knowledge sharing – individuals’ motivation, and individuals’ perceptions of organizational values and organizational work practices – work differently within, as opposed to across, business units. Our analysis suggests that while intrinsic motivation, innovative va…
