The Influence of Institutionally Embedded Ownership on Anglo-American Corporate Governance Migration into Emerging Economy IPO Firms

We argue that the corporate governance of emerging economy IPO firms is influenced by firm-specific institutionally embedded block ownership groups. Applying an extended institutional logic perspective and using a mixed-effects ordered probit model, our findings from 190 IPO-firms from 22 African countries 2000‒2016, support the notion that five major block owner categories (corporate, private equity, non-executive, business group, state) exerts very different influence on African firms’ degree of adoption of Anglo-American corporate governance measures. In order to find out how Ukrainian practitioners understand and evaluate management control innovation - beyond budgeting - this study examines their attitudes towards this concept and meanings they attach to it in the process of learning and sensemaking. Results show how the content and meaning of novel management innovation is reinterpreted and negotiated in new institutional context. The purpose of this research is to identify typical professional and occupational groups in service-intensive projects, and illustrate the inbuilt tensions among them through the lens of institutional theory. The cases used for the study are a wind turbine business and a content management system project business. ABSTRACTThis paper tries to develop a conceptual framework for a comprehensive understanding of the merger process, which is regarded as a matter of institutionalization of organizational innovation. In the framework, a number of factors affecting merger process or institutionalization of merger are identified, such as those related to environmental issues, economic benefits, institutional compatibility and human agency. The framework hopefully narrows our knowledge gap on theorizing innovation process, in general, and university merger, in particular.
