Les acquisitions de sociétés à l'aide d'un holding endetté, ou leverage buy-outs (LBO), ont connu un essor remarquable aux Etats-Unis (depuis les années 1970) et en Europe (à partir des années 1980). Ces opérations permettent aux acquéreurs (capital-investisseurs, personnes physiques...), de conserver ou d'acquérir le contrôle de la société visée tout en minimisant leurs apports en fonds propres. La première partie de cet article est consacrée aux montages de ces opérations et à la mobilisation des effets de leviers juridiques et financiers. Après une présentation du marché français des LBO, la seconde partie étudie l'évolution de la performance de la cible et la longévité de ces opérations.

PurposeMagnetic Resonance guided Focused UltraSound (MRgFUS) represents a non-invasive surgical approach that uses thermal ablation to treat uterine fibroids. Trainability of underwater breath-holding-time

From diving practice we know that breath-holding time (BHT) can be increased by training. This examination was set up to illuminate whether BHT underwater can be trained decisively in a short period of time. The authors investigated whether physiologic or psychological aspects are the main constituents of the above-mentioned BHT phenomenon. BHT and the "onset point" of involuntary respiratory movements of 64 subjects were registered after deep inspiration and immersion in ca. 1 m. Two different tests were set up: (I) 2 breath-holds per day on 5 consecutive days, (II) 5 repeated breath-holds with pauses of 3 min in between. The latest reorganization of the Vertebrate collections preserved at the “Pietro Doderlein” Museum of Zoology of the University of Palermo (Italy) has made it possible to draw up a check-list of the Mammal taxa present in the stuffed (M), fluid-preserved (ML) and anatomical (AN) collections. The intervention was planned under the National Biodiversity Future Center (NBFC) agenda, focused on the enhancement of Italian natural history museums. Enabling Energy Savings in Offshore Mechatronic Systems by using Self-Contained Cylinders

This paper proposes a novel actuation system for an offshore drilling application. It consists of three self-contained electro-hydraulic cylinders that can share and store regenerated energy. The energy saving potential of the proposed solution is analyzed through a multibody system simulation. Numerical and Experimental Study of a Novel Concept for Hydraulically Controlled Negative Loads

This paper presents a numerical and experimental investigation of a novel concept that eliminates oscillations in hydraulic systems containing a counterbalance valve in series with a pressure compensated flow supply. The concept utilizes a secondary circuit where a low-pass filtered value of the load pressure is generated and fed back to the compensator of the flow supply valve. The novel concept has been implemented on a single boom actuated by a cylinder. A nonlinear model of the system has been developed and an experimental verification shows good correspondence between the model and the real system.
