Depuis près de 25 ans, la théorie de l’agence (Easterbrook, 1984 ; Jensen, 1986) postule que les actionnaires demandent des dividendes pour discipliner les dirigeants. Une analyse approfondie de la littérature montre cependant que la politique de dividende ne constitue pas un mécanisme efficace de gouvernance, pour au moins trois raisons : les attentes des divers groupes d’actionnaires sont variées en matière de versement de dividendes ; les entreprises concernées présentent des caractéristiques spécifiques ; la gouvernance des entreprises est de « faible » qualité du point de vue des actionnaires minoritaires.

Komentowane orzeczenie dotyczy możliwości miarkowania kary umownej po tym, jak została ona zapłacona przez dłużnika z zastrzeżeniem zwrotu. Główny problem w sprawie stanowiło to, czy powód może skutecznie wystąpić z odrębnym powództwem o zwrot części zapłaconej już pozwanemu kary. Istota postępowania sprowadzała się do określenia formy i momentu wystąpienia przez dłużnika z żądaniem miarkowania kary umownej. Sąd zgodził się z tezą, że do miarkowania może dojść na skutek powództwa wytoczonego przez dłużnika. Abstract A field and petrographic re-assessment of rocks from the Theespruit Formation near Tjakastad, southwestern Barberton Greenstone Belt, is combined with new zircon U–Pb ages and whole-rock Sm–Nd isotopic results to reveal several important inconsistencies with a previous thrust-accretion model for this area. It was found that faults previously interpreted as ‘thrusts’ are extensional, ‘thrust slices of basement orthogneiss’ are little deformed quartz-feldspar porphyries or sheared felsic volcaniclastic sedimentary rocks, and ‘sedimentary diamictites’ are felsic agglomerates.
